These Terms of Sale govern the contractual relationship between Haki Consult LLC and its clients. Any order implies unreserved acceptance of these terms.
Article 1 — Purpose
These terms define the rights and obligations of the parties in the context of the sale of services offered by Haki Consult LLC.
Article 2 — Services offered
Haki Consult LLC offers the following services:
- Design and development of brochure websites
- Design of online-sales websites (ordering, click & collect, booking, store)
- Development of custom web applications and business tools
- Hosting, maintenance and evolution of existing websites
Article 3 — Pricing
Indicative plan prices are displayed on the website. The final price of each service is set in a personalised quote, expressed in euros and confirmed in writing before any work begins.
Recurring services (hosting, maintenance) are billed monthly at the rate agreed in the quote. Haki Consult LLC reserves the right to change its rates; ongoing services remain billed at the agreed rate.
Article 4 — Orders
An order is confirmed by the client's written acceptance of the quote and payment of the agreed deposit. This acceptance implies full and unreserved acceptance of these terms.
Article 5 — Payment
- 50% deposit at order
- Balance at launch, or per the schedule agreed in the quote
- Payment by bank transfer or card, or any other method accepted by Haki Consult LLC
Article 6 — Timelines
Timelines are provided for guidance and depend in particular on the client providing the necessary content and information. Haki Consult LLC uses all reasonable means to meet the announced timelines; a delay cannot give rise to penalties, compensation or cancellation of the order.
Article 7 — Client obligations
The client agrees to:
- Provide the information, content and documents needed to deliver the services
- Collaborate actively and respond within reasonable timeframes
- Hold the rights to any content provided (text, images, logos)
- Pay invoices within the agreed timeframes
Article 8 — Ownership and deliverables
Once the balance is paid in full, the delivered website becomes the client's property. The domain name is registered in the client's name. If the maintenance service is terminated, Haki Consult LLC hands over all files and access credentials to the client.
Article 9 — Termination of recurring services
Monthly services (hosting, maintenance) may be terminated by either party with one month's written notice. Amounts already paid for the current month remain due.
Article 10 — Liability
Haki Consult LLC's liability is limited to the amounts actually received for the service concerned. Haki Consult LLC cannot be held responsible for content published by the client or for the website's commercial results.
Article 11 — Applicable law
These terms are governed by US law. In the event of a dispute, and after seeking an amicable solution, the competent courts shall be those of the State of Wyoming, United States.
